Job Description

DePuy Synthes is recruiting for Counsel, U.S. Commercial Programs. This Hybrid position will be located in Raynham, MA, New Brunswick, NJ, Raritan, NJ, or West Chester, PA. Johnson & Johnson announced plans to separate our Orthopedics business to establish a standalone orthopedics company, operating as DePuy Synthes. The separation is anticipated to be completed within 18 to 24 months, subject to legal requirements, regulatory approvals, and other customary conditions. If you accept this position, you would likely become an employee of DePuy Synthes following the transaction and be governed by DePuy Synthes employment processes, policies, and benefit plans. Details of any planned changes will be provided in due course and subject to necessary consultations.

Responsibilities

  • Provide legal counsel and strategic guidance on U.S. commercial programs, including pricing, contracting, promotions, and customer engagement initiatives.
  • Advise on compliance with U.S. healthcare laws and regulations (e.g., Anti‑Kickback Statute).
  • Review, draft, and negotiate commercial agreements, including customer contracts and program terms and policies.
  • Partner with cross‑functional stakeholders (Sales, Marketing, Finance, Health Care Compliance) to assess legal risk and develop practical, business‑focused solutions.
  • Support development and implementation of compliant commercial strategies and promotional programs across the U.S. market.
  • Serve on pricing and contracting governance committee to provide legal guidance on new commercial offerings and review exceptions from policy.
  • Collaborate with legal colleagues to ensure consistent guidance.
  • Contribute to training and education initiatives for commercial teams on legal and compliance requirements.

Qualifications

Education

  • Juris Doctor (JD) from an accredited law school (required).
  • Admission to practice law in at least one U.S. jurisdiction (required).

Experience and Skills

  • A minimum of 3 years of relevant contracting legal experience, in‑house, government, or private practice, focused on U.S. general commercial, healthcare, or life sciences matters or government contracting.
  • Strong contract drafting and negotiation skills.
  • Experience advising on healthcare regulatory and compliance issues affecting commercial programs.
  • Ability to translate complex legal requirements into clear, actionable business guidance.
  • Ability to work effectively with cross‑functional stakeholders in a fast‑paced environment.
  • Effective communication skills and ability to influence and build relationships and consensus.

Preferred

  • In‑house legal experience within a medical device, medtech, healthcare, pharmaceutical, or broader life sciences organization.
  • Familiarity with U.S. medical device or medtech commercial models, including value‑based arrangements and customer programs.
  • Experience supporting sales, marketing, or commercial operations teams.
  • Prior experience advising on government contracting, pricing, or reimbursement‑related programs.

  • Language: English (required).
  • Travel: Up to 10–15% domestic travel as business needs require.
  • Certifications: None required beyond bar admission.

Benefits and Pay: This position may be eligible for the Company's long‑term incentive program. The base pay range is $122,000.00 – $212,750.00. Eligible employees may participate in the Company's consolidated retirement plan (pension) and savings plan (401(k)).
